Description
We represent the Cleveland office of an elite mid-size firm that frequently hires from the AmLaw in its search for a corporate associate with at least two years’ experience. Top associates join this firm because it offers a reasonable billable hour requirement combined with excellent compensation.
The hired attorney will have a background in M&A and a deep understanding of corporate law, deal structures, and contract drafting.
Key Responsibilities:
- Advise clients on a broad range of mergers & acquisitions transactions, including buy-side and sell-side deals
- Draft, review, and negotiate transaction documents, including:
- Purchase agreements (asset and stock)
- Merger agreements
- NDAs and letters of intent
- Ancillary agreements (e.g., employment, escrow, disclosure schedules)
- Conduct and manage legal due diligence, including reviewing corporate, commercial, and regulatory materials
- Identify legal risks and provide practical, business-oriented solutions
- Support deal structuring and execution from initial negotiations through closing
- Coordinate with internal teams and external specialists (e.g., tax, finance, regulatory) to ensure seamless transaction execution
- Manage closing processes, including checklists, signature packets, and post-closing obligations
- Communicate effectively with clients, opposing counsel, and other stakeholders
- Assist with general corporate matters, including governance, entity formation, and compliance
Qualifications:
- J.D.
- Active Ohio bar admission (or eligibility to waive in)
- At least three years’ experience in corporate law, with a focus on M&A transactions
